Goolsby, Menges Receive VBA Legislative Advocacy Award

The Virginia Bar Association presented Richmond-based attorneys Allen C. Goolsby and Charles L. Menges with its Legislative Advocacy Award Jan. 24 at the 130th Annual Meeting in Williamsburg.

The VBA also renamed the award in honor of Goolsby, who served as VBA president in 1991 and received the VBA’s Walker Award of Merit in 2006. Goolsby is special counsel with Hunton Andrews Kurth LLP and Menges is a partner with McGuireWoods LLP.

They are the third and fourth recipients of this award, first given in 2011. The honor recognizes outstanding service in promoting the legislative agenda of the association.

The VBA’s 1890 charter describes two of its purposes as “promoting reform in the law and in judicial procedure, [and] facilitating the administration of justice.” New VBA President Alison M. McKee said those purposes are most evident in the VBA’s tradition of successful legislative agendas and in working with legislators to craft laws in the public interest.

“This success would not be possible without the work of some of the very best legal minds in the commonwealth,” McKee said in presenting the awards. “Tonight, we honor two of those great Virginia lawyers.” Both are VBA Life Members, which means they have at least 40 years of continuous VBA membership and have attained age 70.

Allen Goolsby

He was appointed to the ABA’s Corporate Law Committee, which drafted and updates the Model Business Corporation Act followed by most states. His treatise, “Goolsby & Haas on Virginia Corporations,” now in its sixth edition, serves as a helpful guide for practitioners, courts, and legislators interpreting Virginia law.

“Considered by many to be the father of Virginia corporations law, Allen Goolsby was the chief draftsman of the comprehensive revision of the Virginia Stock Corporation Act that was enacted in 1985, based on the ABA Revised Model Corporation Act,” McKee said. “He has led the development of all statutory updates to our Virginia Stock Corporation Act in the decades following the 1985 overhaul. In 2019, once again he spearheaded extensive revisions to the Virginia Stock Corporation Act — amendments that spanned 236 pages. His legislative advocacy has played a significant role in making our commonwealth more attractive to businesses.”

In recognition of Goolsby’s “extensive contributions to the legislation of our commonwealth and beyond,” the VBA Board of Governors voted not only to present the award to him, but to rename it in his honor. The award will now be known as the Allen C. Goolsby Legislative Advocacy Award.

Charles Menges

A transactional lawyer at McGuireWoods and fellow of the American College of Real Estate Lawyers, Menges has served on numerous ABA and VBA committees. He was a principal drafter of the “Virginia Report on Third-Party Legal Opinions in Business Transactions” and chairs the VBA’s Legal Opinions Committee. He also has testified regularly at the Virginia General Assembly in support of the VBA’s legislative agenda.

He has “devoted hours of tireless work to the modernization and refinement of the Virginia Code as it relates to the practice of real estate law. He has spearheaded countless legislative initiatives, including those relating to the effectiveness of leases (in response to the Game Place decision), the registration requirements of commercial landlords, and the appropriate determination of recording taxes,” one of his nominators wrote.
